Adjustments
In order to provide a consistent approach for modifying independent contractor agreements while keeping contracts clear, compliant, and easy to manage, the below applies to all independent contractor and consulting agreements entered into through Goodnation.
An amendment may be used only for limited, clearly defined changes, including minor updates to the Scope of Work, modest changes to fees or payment schedule, or short extensions to contract dates
To keep terms clear, track fewer documents, and simplify financial and compliance review, each contractor agreement may have no more than one amendment, and if a second change is needed, a new agreement will need to be drawn up and submitted.
A new agreement is required, even if no prior amendment exists, when:
The overall nature of the work changes*
The contract term is extended by more than 6 months*
The contractor takes on duties similar to staff responsibilities*
The fee increases by more than 20% of the original contract value
Any core legal terms must change (confidentiality, IP ownership, termination, liability)
*In these instances, a worker classification evaluation will be required
Use Goodnation’s amendment template (found in the shared Google Drive folder), complete accordingly and submit below without signatures so that Goodnation can review and manage gathering signatures. Note that all agreements should be between your vendor and Goodnation Foundation or Goodnation Action (depending on who your sponsor is).
